Development of the successor to the W163 began in late 1992 under the code name "W164". Design work took place from late 1992 until 1994, when a design from Mercedes' Sindelfingen studio was chosen and approved by the executive board. Design patents were filed in Germany and the U.S., prototype testing was conducted using test mules and mock-ups, and production started in May 1996.

Three ML 320s were used by the producers of The Lost World: Jurassic Park as part of an advertising tie-in, and Jeff Goldblum was given one of them upon the film's release in 1997.
